We exclusively represent the purchasing client throughout the agreement process and do not engage with the counterparty. Before our attorney drafts the final documents, our team conducts a comprehensive review of the negotiated terms, identifying potential gaps and offering strategic recommendations based on industry best practices and our extensive experience.

The Term Sheet is then provided to an attorney to complete the formal Asset Purchase agreements.

This service is ideal when the buyer and seller have an established rapport and have largely established the terms and structure of the deal, but require professionals to complete the formal agreements for an Asset Purchase.

Our Deal Support package is designed for this exact moment — offering a structured framework to guide both parties through the final deal terms and legal agreements documentation. This is the core support you need to ensure nothing is missed and everything runs on schedule.

Our process keeps things simple and efficient:
Discovery Call – We gain an understanding of the deal structure and what's already in motion

Legal Agreement Preparation – Our experienced attorney prepares the final legal agreements with all deal terms and necessary requirements included
We work quickly and collaboratively with both parties to support a clean, timely closing.
*The client pays 50% ($2,997.50) of the fee at the time of purchase. The initial payment is non-refundable once the service has commenced. The balance is due when the term sheet is agreed to and is due upon receipt. The invoice for the second payment is cancelled if legal support is not engaged.
Flat fee for service is based on one purchasing advisor. There is a fee of $1,500 per additional purchasing advisor to cover the preparation of their legal documents.
The client will have the option to upgrade to full deal support (negotiating and transition coaching) as the deal requires. The upgraded service will replace the 50% balance due with a success fee of 1% of the sale price. The success fee is due at the closing of the deal and paid directly out of the buyer’s funding.
