Platform Terms of Use

These Platform Terms of Use ("Terms") apply to your use of Legacy Choice websites, portals, accounts, software, and other technology (the "Platform"). They are separate from the Legacy Choice Membership Agreement, which governs marketplace participation, confidentiality, buyer fees, and other commercial terms. By using the Platform, you agree to these Terms.

You must be at least 18 years old and legally able to enter into these Terms. If you use the Platform for an organization, you confirm that you have authority to act for that organization. Advisor Legacy may require membership approval, verification, or a particular subscription level before allowing access to certain features or opportunities.

Keep your account information accurate and your login credentials secure. Do not share credentials or allow unauthorized users to access your account. You are responsible for activity under your account unless you promptly report suspected unauthorized access. Advisor Legacy may use reasonable security measures, including multifactor authentication and identity verification.

Use the Platform only for legitimate Legacy Choice purposes and in compliance with law and your agreements with Advisor Legacy. Do not interfere with the Platform, bypass security or access controls, impersonate another person, introduce malicious code, scrape or harvest information, use automated tools without permission, copy the Platform in bulk, reverse engineer it, or use it to build or improve a competing marketplace or service.

Marketplace information is subject to the confidentiality and restricted-use rules in the Membership Agreement and any applicable Seller Participation Agreement or opportunity-specific agreement. If those documents impose stricter limits, the stricter limits apply.

You keep ownership of information and materials you submit. You give Advisor Legacy the limited right to host, copy, process, display, transmit, and otherwise use that content as reasonably necessary to operate Legacy Choice, provide services, support an authorized transaction process, maintain records, improve security, and comply with law.

Do not submit information that you do not have the right to provide. Avoid unnecessary client-level or highly sensitive information. When sensitive information is legitimately required for diligence, use the secure process or channel designated by Advisor Legacy.

The Platform, its software, design, branding, workflows, databases, reports, analytics, matching methods, valuation approaches, and other Advisor Legacy materials are owned by Advisor Legacy or its licensors and are protected by intellectual-property and other laws. Your access gives you a limited, revocable right to use the Platform for authorized Legacy Choice purposes; it does not transfer ownership.

Advisor Legacy may use automated tools and AI-assisted systems to support search, matching, summarization, document processing, security, support, workflow, and service improvement, as described in the Privacy Notice. You may not submit confidential marketplace information to a public, shared, or third-party AI or analytics system unless Advisor Legacy has expressly approved that system for use with the information.

You agree that Advisor Legacy may provide agreements, notices, disclosures, records, and other communications electronically. Electronic acceptance, click-through acceptance, and other electronic records may be used as evidence of your agreement and activity. You are responsible for keeping your contact information current.

Legacy Choice may connect with or link to services provided by lenders, payment providers, electronic-signature providers, document services, analytics providers, broker-dealers, RIAs, custodians, and other third parties. Those services are provided by independent parties and may have their own terms and privacy practices. Advisor Legacy is not responsible for their acts, omissions, availability, or advice unless a signed agreement expressly says otherwise.

Advisor Legacy may update, modify, suspend, or discontinue Platform features. We do not promise uninterrupted or error-free operation. We may monitor and use logs and security information to protect the Platform, investigate suspected misuse, enforce agreements, and comply with law.

Report suspected security issues or unauthorized account access promptly to info@advisorlegacy.com. Do not publicly disclose a suspected vulnerability before giving Advisor Legacy a reasonable opportunity to investigate and address it.

Advisor Legacy may suspend or terminate Platform access when reasonably necessary because of a security risk, suspected misuse, violation of these Terms or another Legacy Choice agreement, nonpayment, legal or regulatory requirements, or conduct that threatens Members or marketplace integrity. Ending Platform access does not eliminate obligations that arose before termination.

If you believe material on the Platform infringes your copyright, send a written notice to Advisor Legacy that identifies the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature. Send notices to info@advisorlegacy.com.

The Platform is provided "as is" and "as available." To the maximum extent permitted by law, Advisor Legacy disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. Advisor Legacy does not guarantee that the Platform will be uninterrupted, error-free, secure against every threat, or suitable for every purpose.

Liability for marketplace participation, confidentiality, fees, transactions, and related matters is governed by the Membership Agreement or another applicable signed agreement. For claims arising solely from Platform use and not governed by another agreement, Advisor Legacy will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, data, business opportunity, or expected savings, to the maximum extent permitted by law.

These Terms govern technology and Platform access. The Membership Agreement governs general marketplace participation. A Seller Participation Agreement governs Advisor Legacy's engagement to market and facilitate the sale of a seller's practice. An opportunity-specific addendum or other signed agreement may apply to a particular service or transaction. If documents conflict, the more specific signed agreement controls for its subject matter, followed by the Membership Agreement, then these Terms.

Michigan law governs these Terms. Disputes will be handled under the dispute process in the Membership Agreement unless another signed agreement provides otherwise. You may not assign these Terms without Advisor Legacy's written consent; Advisor Legacy may assign them to an affiliate or successor. If a provision is unenforceable, it will be modified only as much as necessary. Failure to enforce a provision is not a waiver. Electronic acceptance is effective.

Advisor Legacy may update these Terms from time to time. Material changes may be presented for acceptance or otherwise communicated as appropriate. Continued use after an effective update constitutes acceptance when permitted by law, but an update does not eliminate obligations that arose under an earlier version.
